Assetera Wallet Terms of Use

Version 2026-10-01

Provided by Assetera Digital Assets GmbH

Last updated: September 2026

Please read these Terms of Use ("Terms") carefully before using the Assetera Wallet. By downloading, installing, accessing, or using the Assetera Wallet (the "Wallet"), you agree to be bound by these Terms. If you do not agree, do not use the Wallet.

The Wallet is provided by Assetera Digital Assets GmbH, 1030 Vienna, Austria ("ADA", "we", "us"), a company within the Assetera Group. It is a separate legal entity from Assetera GmbH and is not a MiFID-regulated investment firm; it is not covered by the investor compensation scheme applicable to Assetera GmbH's regulated services.

Infrastructure Providers

The Wallet's underlying key-management infrastructure is provided by Dynamic Labs, Inc. ("Dynamic"), operating on the Fireblocks LLC ("Fireblocks") platform, using embedded wallet technology with TSS-MPC (threshold signature scheme — multi-party computation) key management. Under this architecture, your key material is split into multiple shares distributed across parties, including a share held locally on your own device and a share held within a Trusted Execution Environment (TEE) operated by Fireblocks that participates in signing operations without exposing the underlying key material — and no single party — including ADA, Dynamic, or Fireblocks — can unilaterally access your keys or authorise a transaction without your participation. Dynamic's and Fireblocks' own terms, privacy policy, and security practices (including SOC 2 Type II certification) apply to their respective processing of your data and key shares, in addition to these Terms.

In connection with the Wallet's key-management and authentication functionality, certain data relating to your use of the Wallet (including wallet addresses, device identifiers, and usage data) is processed by Dynamic Labs, Inc. and, where applicable, Fireblocks LLC, both established in the United States. This involves a transfer of personal data (E-Mail address) outside the EEA, which is safeguarded by Dynamic Labs, Inc. Standard Contractual Clauses. Dynamic Labs, Inc. processes certain of this data as an independent controller under its own Privacy Policy, available at Dynamic Privacy Policy, which we encourage you to review separately from this Wallet Privacy Policy.

What the Wallet Is

The Wallet is a software interface that allows you to generate, store, and manage cryptographic keys, and to view, send, receive, and interact with digital assets and blockchain-based applications directly from your own device, using the embedded wallet infrastructure described above.

No single party — including ADA, Dynamic, or Fireblocks — can unilaterally access your key material or move your digital assets without your participation. ADA does not have unilateral custody or control of your funds. Every transaction requires your own device-held key share to authorise it, is signed accordingly, and is then broadcast to the relevant blockchain network. ADA is not a party to, and has no independent visibility or control over, any transaction you initiate, beyond the role of its infrastructure providers described above.

Your Responsibility for Your Keys

  • You are solely responsible for safeguarding access to your device-held key share and any passkey, passcode, or backup option (e.g. iCloud or Google Drive) you enable through the Wallet.
  • ADA does not hold a full copy of your key material and cannot, acting alone, reconstruct your keys or recover your funds. Depending on your configuration, recovery may be available via an additional backup share (e.g. iCloud or Google Drive) or via a passkey linked to your Apple or Google account; recovery does not require Dynamic or Fireblocks to be online. If you lose access to your device share and any backup or recovery option you have configured, you may permanently lose access to your digital assets.
  • There is no "forgot password" option equivalent to a traditional account. ADA cannot reverse, refund, or unilaterally recover any transaction.

Eligibility and Restricted Persons

  • You must be at least 18 years old and have the legal capacity to enter into these Terms.
  • You represent that you are not located in, and are not a citizen or resident of, any country subject to comprehensive sanctions, and that you are not listed on any applicable sanctions or restricted-persons list (e.g. EU, UN, OFAC).
  • You are responsible for ensuring that your use of the Wallet complies with the laws applicable to you, including in your local jurisdiction.

No Financial or Legal Advice

Nothing in the Wallet, including any prices, balances, or token information displayed, constitutes financial, investment, or legal advice. ADA does not recommend that you buy, sell, or hold any particular digital asset.

Risks of Digital Assets and Blockchain Transactions

Use of the Wallet involves significant risks, including but not limited to:

  • Price volatility of digital assets.
  • Irreversibility of blockchain transactions — once submitted, a transaction generally cannot be cancelled or reversed.
  • Smart contract risk, including bugs, exploits, or design flaws in third-party protocols you interact with.
  • Network risk, including congestion, forks, or changes to a blockchain's protocol rules.
  • Regulatory risk, as laws applicable to digital assets vary by jurisdiction and may change.

You accept these risks and agree that ADA is not responsible for any loss arising from them.

Third-Party Services and Applications

The Wallet may allow you to connect to third-party websites, decentralised applications ("dApps"), or smart contracts that are not operated by ADA. ADA does not review, control, endorse, or take responsibility for any third-party service, and your interactions with them are solely between you and that third party, at your own risk.

6.1 DeFi Features

Where ADA enables access to decentralised finance features through the Wallet, including swapping, bridging, staking, or decentralised lending/borrowing protocols ("DeFi Features"), the following additionally applies before you use any such DeFi Feature:

  • the risk of total or partial loss of any digital assets deposited with, supplied to, or otherwise committed to a DeFi protocol, including as a result of smart contract vulnerabilities, bugs, or exploits;
  • the absence of any depositor protection scheme, insurance, guarantee, or recourse mechanism in respect of assets held in or supplied to a DeFi protocol;
  • the variable and potentially zero nature of any returns, yields, rewards, or interest generated by a DeFi protocol, which are determined solely by the relevant protocol and not by ADA or its infrastructure providers;
  • the risk of liquidation of collateral in connection with any lending or borrowing activity on a DeFi protocol;
  • the irreversible nature of on-chain transactions, which once submitted to the relevant blockchain network cannot be cancelled, reversed, or modified;
  • the independent and autonomous nature of DeFi protocols, which operate outside the control of ADA and its infrastructure providers; and
  • any additional disclosures required by applicable law in your jurisdiction of residence.

Before using a DeFi Feature, you will be shown, and must accept, the applicable terms and conditions of the relevant third-party protocol provider. ADA maintains a record of that acceptance. DeFi Features are Third-Party Services within the meaning of this Section 6 and are not operated by ADA; Section 6 above applies to them in full.

Fees

ADA does not charge a fee for downloading or using the core Wallet software. Network ("gas") fees required to process transactions on the relevant blockchain are set by the network, not by ADA, and are paid directly by you. If ADA offers optional paid features (e.g. swaps), any applicable fee will be clearly disclosed to you before you confirm the transaction.

Prohibited Uses

You agree not to use the Wallet for any unlawful purpose, including money laundering, terrorist financing, fraud, or to interact with any digital asset or protocol you know or suspect to be connected with illegal activity.

Intellectual Property

ADA grants you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Wallet software for your own personal use, subject to these Terms. All intellectual property rights in the Wallet remain with ADA or its licensors.

No Warranty

THE WALLET IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. ADA DOES NOT WARRANT THAT THE WALLET WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Limitation of Liability

To the maximum extent permitted by law, ADA shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of digital assets, data, or profits, arising out of or in connection with your use of the Wallet, even if advised of the possibility of such loss. ADA's total liability arising under these Terms shall not exceed EUR 100.

Indemnification

You agree to indemnify and hold ADA harmless from any claims, losses, or expenses (including reasonable legal fees) arising from your use of the Wallet, your breach of these Terms, or your violation of any law or third-party right.

Changes and Termination

ADA may update these Terms or modify, suspend, or discontinue the Wallet (or any part of it) at any time. Material changes to these Terms will be notified to you through the Wallet or by other reasonable means. If the Wallet or the underlying Dynamic/Fireblocks infrastructure is discontinued, your ability to access your digital assets depends on the export or migration options made available by Dynamic/Fireblocks at that time; ADA will use commercially reasonable efforts to notify you in advance and to facilitate any available export process.

Governing Law and Jurisdiction

These Terms are governed by the laws of Austria. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Vienna.
